General Terms and Conditions of Donkey Republic
DonkeyRepublic Admin ApS, registered in the Central Business Register (Denmark) under CVR No.: 38049488, located at Skelbækgade 4, Entrance B, 4. Floor 1717 Copenhagen V, Denmark, represented by its CEO Thor Möger Pedersen(CEO), email: info@donkeyrepublic.com, Phone: (+45)89887227 (“Donkey Republic” or “we”) provides a digital platform that offers vehicles such as mechanical bicycles, e-bikes, cargo bikes and e-cargo bikes (“Vehicle(s)”) for rental (hereinafter collectively “the Services”). The Services are available through Donkey Republic's mobile application (“the App"), provided the Rider has properly registered through the app.
These General Terms and Conditions apply to the services of Donkey Republic.
General Terms and Conditions (“GTC”) apply. The GTC must be accepted once when placing the first paid order in the app. The GTC apply to any subsequent use of a service in the app.
Definitions
“Rider” means the person making the booking and using a vehicle for themselves and/or a Co-Rider. A Rider can also be a member.
“Co-Rider” means the person who uses a vehicle rented by a Rider.
“Hub” or “Drop-off Location” means the geotagged location for vehicles displayed in the app where vehicles are to be picked up and returned.
“Area of Use” means the area within which vehicles can be rented and the rental can be terminated.
“Damage" within the meaning of these General Terms and Conditions is any present or future loss or harm, whether pecuniary or relating to property, suffered by Donkey Republic as a result of a liability-triggering event, including financial loss or loss of profit; property damage, in particular any damage to, destruction or loss of vehicles; and any consequential costs and other impairments of legally protected interests of Donkey Republic“
A. Registration, hardware, and software requirements
- Before the Rider can use the services, they must create a profile and register via the app. For successful registration, it is necessary to provide the Rider's legal name, email address and telephone number. One of the payment methods displayed in the app can be added at any time, but no later than during the first booking or order. The Rider shall ensure that the data provided to Donkey Republic is correct and is obliged to keep this data up to date.
- The minimum age for entering into contracts for Donkey Republic services is 18 years. The use of Donkey Republic vehicles is restricted to persons aged 12 and over.
- The Rider needs a smartphone with average hardware performance that can access the Internet and is capable of Bluetooth and the use of satellite navigation systems GPS and/or Galileo satellite navigation systems. The app requires iOS from Apple Inc. or Android from Google Inc. as the operating system.
- The Rider may use the vehicles within the area of use in which the vehicle was rented. Returning the vehicle outside the Drop-off Location may result in the payment of a lump-sum compensation pursuant to F. 7.
B. Object of the contract, payment, types of contract, conclusion of the contract
I. Just Ride
- If the Rider wants to use one or more vehicles for an undefined period of time, they can select the “Just Ride” option in the app.
- If a booking is made for multiple vehicles, the Rider can make the booking for themselves and/or for other Co-Riders. If a booking is made for other Co-Riders, the email addresses of these Co-Riders can be entered during the booking process. If Co-Riders log in with the entered email address, they will also have access to the entire booking.
- The display of the clickable "Start rental" button is a legally binding offer from Donkey Republic to the Rider to rent the vehicle(s) selected by them in accordance with these GTC and the rental prices displayed in the app. By clicking the button, the Rider accepts this offer, a rental contract for the rented vehicle(s) is concluded, and the chargeable rental period begins immediately (“Rental”). Before use, the vehicle must be unlocked by the Rider via the app.
- The current rental price, which depends on the total duration of use of the vehicle, is displayed via the app during the rental.
- After termination of the rental, the Rider will be charged the actual rental price for the rental using the payment method selected by the Rider. Donkey Republic will then send a payment confirmation for the rental to the Rider's email account.
II. Offers with prepaid rental period
- Through the app, Riders can order prepaid offers that grant them the right to use one or more available vehicles at a fixed price for a specific rental period within a specific period of time (the “Validity Period”). The rental period does not necessarily correspond to the validity period and is usually shorter.
- To order the prepaid offers, the Rider first selects the respective offer in the app before completing the first rental for which the offer is to apply. By clicking the “Buy now” button, the Rider accepts this offer. A contract for the selected offer is concluded and the validity period begins immediately.
- To rent a vehicle within the validity period after an offer has already been purchased, the Rider selects the desired vehicle in the app and confirms the rental by clicking the “Start rental” button. A contract for renting the vehicle is concluded. The rental period begins upon confirmation of the rental and will be credited to the rental period included in the offer, provided it falls within the current validity period. Before use, the vehicle must be unlocked by the Rider via the app.
- The Rider can conclude the offer pursuant to B. II. 2 and the rental of the vehicle pursuant to B. II. 3, both simultaneously in one order process or separately and at different times. The Rider can also order multiple prepaid rental periods for multiple vehicles for themselves and/or for other Co-Riders. In this case, the email addresses of the Co-Riders can be entered during the booking process. If Co-Riders log into the app using the entered email address, they will also have access to the booking.
- While renting a vehicle, the app displays the current rental price, the rental time already elapsed, the time remaining until the end of the rental period included in the offer, and the remaining validity period of the offer.
- Upon order confirmation, Donkey Republic will debit the amount corresponding to the price of the prepaid offer via the payment method selected by the Rider. If the Diver has exceeded the prepaid rental period and/or validity period, the additional amount will be charged via the selected payment method. The additional amount is the Just Ride rental fees displayed in the app for the time beyond the rental period and/or validity period. This will be billed after the rental has been terminated and the app confirms successful completion for each rental.
- The rental terminates when the Rider clicks the “Return” button and then the “End rental” button in the app, and the app confirms the successful completion of the rental.
C. Membership
- The Rider can become a member by booking one of the discounted, paid, or free subscription packages described in the app. Membership entitles the Rider to use a vehicle in the case of a rental for the number of hours included in the subscription package at a discounted rate or free of charge. If and to the extent that the rental period exceeds this number of hours, the Rider will be charged the current and regular rates displayed in the app according to the Just Ride rate once the Rider clicks the “End Rental" button and the app confirms that all rentals have been successfully completed.
- The display of the clickable “Join membership” button constitutes a legally binding offer from Donkey Republic to the Rider to become a member in accordance with these GTC and the prices displayed in the app. By clicking the button, the Rider accepts this offer, the membership contract is concluded, and the membership starts immediately.
- After the Rider clicks the button, Donkey Republic will request the respective payment service provider to process the payment transaction for the membership fee in advance. The payment transaction is carried out automatically by the payment service provider and processed via the Rider's payment method.
- The Rider can choose between a monthly membership or an annual membership. If neither of the contracting parties cancels the membership beforehand, the monthly membership will be extended after the end of the month and the annual membership after the end of the year for an indefinite period.
- For a monthly membership or during the annual membership, the Rider can cancel the membership at any time via the app. If membership fees have been collected from the Rider for a period beyond the effective date of the termination, Donkey Republic will refund these amounts pro rata. After termination, the Rider will retain access to the membership until the end of the current period, but the membership will not be renewed at the end of that period.
- Donkey Republic can terminate a membership at any time with a notice period of at least 7 days. The Rider will be informed of this in advance via email or in the app. In this case, Donkey Republic will refund the Rider the membership fees already paid for the term of the contract pro rata.
- The Rider has the right to revoke their declaration of intent regarding membership. The cancellation policy will be displayed during the ordering process.
- Donkey Republic reserves the right to adjust the price and the membership offer for Riders with a membership during the term of the membership in response to changing market conditions, significant changes in procurement or provision costs, or changes in VAT or similar taxes. In addition, Donkey Republic reserves the right to adjust rental prices accordingly in the event of significant changes in the consumer price index of the Federal Statistical Office. A significant change is defined as an increase of 0.5 percentage points or more compared to the same period of the previous year. Changes will take effect no earlier than thirty (30) days from the date of email notification to the Rider's email address entered during registration.
D. Wallet
- The Rider has the option to deposit money into an in-app wallet to use immediately or later to pay for Donkey Republic services.
- To do this, the Rider adds funds to the wallet using the existing payment methods. The wallet balance is added in the currency of the country in which the Rider is located at the time of the wallet creation. The currency will be displayed to the Rider before confirming the addition.
- The use of the wallet feature is optional in most regions and is not required to pay for services. However, in certain regions, the use of the wallet is required for certain payment methods. However, the Rider will be informed of this in advance.
- By using the wallet, the Rider can pay for both Just Ride and prepaid rental offers.
- However, the wallet can be used to pay for memberships or penalties if the Rider selects payment methods for the wallet that are explicitly indicated in the app as suitable for paying memberships or penalties.
- The wallet is limited to one currency at a time. The wallet can only be used to pay for products in the same currency in which the wallet is held.
- The use of the wallet function is optional and is not a prerequisite for using the services. However, certain payment methods require the use of a wallet. Before adding these payment methods, it will be displayed that they can only be used in conjunction with the wallet.
- For certain wallet transactions, the Rider can receive a bonus amount (Donkey Bonus) that can be used for future transactions. The available bonus options are displayed to the Rider in the wallet menu.
- The Donkey Bonus can only be used on Just Ride and prepaid rental offers and will only be applied once all other funds have been used up.
- If the rental amount exceeds the available balance in the wallet, including Donkey Bonus, the remaining amount will be debited from the chosen payment method.
- For some payment methods (visible in the app under payment methods) there is the option of automatic top-up when the balance in the wallet is used up. The Rider can activate automatic top-up via a toggle switch when adding funds to the wallet or on the Manage Auto-Top-up screen.
- If the Rider has activated automatic top-up, this will occur at the end of the rental if the current balance in the wallet is not sufficient for the rental.
- Automatic top-up will also occur upon activation at the start of the rental if the current balance in the wallet cannot cover the rental price for a prepaid product.
- Multiple automatic top-ups may be required to cover the rental price, including the Donkey Bonus. In this case, the automatic top-up amounts will be combined and debited from the selected payment method as a single combined amount. In this case, the Donkey Bonus will only be used once the deposited amounts have been used up.
- If the payment for the single combined amount fails, another automatic top-up will be attempted for a lower amount. If the automatic top-up with the lower amount is successful, the outstanding amount will be charged directly using the selected payment method. However, if the automatic top-up for the lower amount fails, further attempts will be made with an even lower amount, and the outstanding balance will be charged directly using the selected payment method.
- If automatic charging fails, this does not mean that it is disabled for the Rider. The automatic top-up will be attempted again at the next rental.
- Automatic charging can be deactivated. This is done in the app under “Manage automatic top-up”.
- Donkey Republic cannot automatically top-up any amount other than the amount selected by the Rider, even if it would be more advantageous for the Rider due to the associated "Donkey Bonus" (e.g., one top-up with EUR 200 and EUR 50 Donkey Bonus instead of two top-ups with EUR 100 and EUR 20 Donkey Bonus).
- Continuously unused wallet balance expires 2 years after the deposit date and can no longer be used to pay for services from that point on. It can be refunded if the customer contacts Donkey Republic within 12 months of the expiration date. After that, the wallet balance cannot be refunded.
- Any unused Donkey Bonus expires 24 months after the date of issue.
- Donkey Republic is authorised to refund the Rider to their wallet instead of the payment method used by the Rider when making the payment. If no wallet is available and the original refund to the payment method used has failed, Donkey Republic is entitled to charge the Rider a processing fee of EUR 3.00 for the manual reconciliation and accounting adjustment and to offset this against the amount to be refunded, if the Rider's original payment was made more than 6 months ago and the refund failed solely because the payment instrument used by the Rider (e.g. credit card, bank account) is no longer available and the Rider has not registered a valid alternative in the app despite being requested to do so by Donkey Republic. The Rider reserves the right to prove that Donkey Republic has incurred no or significantly less damage for the processing effort. In this case, only the proven damage or no damage will be charged.
- If a Rider requests a reimbursement on wallet balance at any time, Donkey Republic will reimburse the remaining deposited balance. This option can be selected in the app or a corresponding email can be sent to support@donkeyrepublic.com. The Donkey Bonus will not be reimbursed and will be lost when the wallet balance is reimbursed.
E. Reservation
- In certain regions it is possible to reserve a vehicle. This is a fixed-price product where vehicles are reserved for a specific period of time before being picked up. The price and duration of the reservation may vary depending on the region and will be displayed in the app. The remaining duration of the reservation will be displayed in the app after activation. A contract for the reservation against payment of a reservation fee is concluded when the button in the "Reservation" section in the payment view is activated and then "Rent now" is clicked.
- The display of the option to select a reservation and the clickable button “Rent now” is a legally binding offer from Donkey Republic to the Rider to reserve the vehicle(s) selected by them in accordance with these GTC and at the prices displayed in the app. By selecting the reservation option and clicking the button, the Rider accepts this offer and a contract for a reservation of the selected vehicle(s) is concluded.
- In the case of a vehicle reservation, the paid rental period only starts at the time the Rider unlocks the vehicle.
F. General
- Before the Rider clicks the “Rent now” or “Buy now” button, they can cancel the respective booking process at any time by closing the app. The Rider can correct input errors in the booking form in the respective input field.
- The Rider can limit their liability in the event of theft/loss of the rented vehicle for which they is responsible during the rental with “Just Ride” or during the validity period, including the rental period beyond that in the case of offers with a prepaid rental period, by concluding a “theft insurance” pursuant to I.2. The amount of the theft insurance will be calculated when the order is completed.
- A “Just Ride” rental, a rental pursuant to B. II. 3., and an order for the prepaid offer pursuant to B. II. 2, which is made simultaneously and together with the rental of the vehicle pursuant to B. II. 3, can be cancelled by the Rider at any time before unlocking the vehicle using the “Cancel Rental” button in the app. If only one prepaid offer is purchased on its own pursuant to B. II. 2, its cancellation is excluded. In the event of cancellation, the Rider will not be charged any amounts and Donkey Republic will no longer be entitled to the agreed rental price. If the Rider has reserved a vehicle pursuant to E., only the reservation fee will be charged.
- Once a vehicle has been rented, the app displays the available Drop-off Locations where the vehicle should be returned. If a vehicle is not returned to one of the available Drop-off Locations, a return fee may be charged as described below.
- The rental terminates when the Rider clicks the “Return vehicle” and “End rental” buttons in the app. For some bicycles and e-bikes, the rider must actively lock the vehicle as instructed by the app.
- If the rental is terminated outside a Drop-off Location and/or in violation of G.6 or G.7. and the termination of the rental is confirmed in the app, F. 7 and F. 8 apply.
- If the Rider does not park the vehicle at a return location and/or in violation of G.6 or G.7, they are obliged to compensate Donkey Republic for the resulting damage by paying a lump sum in accordance with the following list.
- 7.1 – Up to 55 EUR (incl. VAT) if the vehicle is parked more than 0.5 m and less than 500 m from the nearest Drop-off Location after the end of the rental period,
- 7.2 – up to 110 EUR (including VAT) if the vehicle is parked more than 500 m and less than 5 km from the nearest Drop-off Location after the end of the rental period,
- 7.3 – up to 180 EUR (including VAT) if the vehicle is parked more than 5 km and less than 50 km from the nearest Drop-off Location after the end of the rental period.
- If the vehicle is parked by the Rider more than 50 km from the nearest hub after the rental period, Donkey Republic is entitled to charge the Rider up to EUR 900 for a mechanical bicycle, up to EUR 2,000 for an e-bike, up to EUR 2,000 for a cargo bike, and up to EUR 4,000 e-cargo bike if Donkey Republic can prove that it has suffered damage of this amount as a result of the incorrect parking of the vehicle. The prices quoted include VAT.
- The amounts may vary depending on the region or city. The exact amounts will be displayed in the app at the time of rental termination. The Rider is free to prove that Donkey Republic has suffered no damage or significantly less damage than the applicable lump-sum compensation as a result of the incorrect parking of the vehicle.
- In certain cities, the app asks the Rider before terminating the rental, to take a photo as proof of the correct return of the vehicle. If a Rider does not terminate the rental as instructed by the local authorities in a particular city, an additional fee of up to 50 EUR may be charged in addition to the lump-sum compensation described above.
- The rental prices are displayed in the app. The total rental price includes the applicable statutory VAT and other rental price components.
- The fees stated in these GTC are in Euros. If a Rider rents a vehicle in a city where a different currency is used, the prices and fees charged may vary due to the respective exchange rate. The applicable prices and fees are displayed in the app in the local currency.
- Donkey Republic only accepts the payment methods displayed in the app.
- As soon as the rental price reaches EUR 25 during a rental, Donkey Republic will immediately debit this amount via the Rider's chosen payment method. Any rental price exceeding this amount for the remaining rental period will be debited at the end of the rental period. After the rental period has been terminated, the Rider will receive a payment confirmation of the total amount by email. If the debit fails during the rental, the Rider will be informed in the app and asked to switch to another payment method. If a further debit using the changed payment method also fails, the Rider will be informed via SMS and asked to immediately return the vehicle to the nearest Drop-off Location and terminate the rental. As long as the outstanding amount cannot be debited, the Rider cannot unlock the vehicle for further use.
- In certain regions, an additional security deposit of up to EUR 25 will be reserved via the active payment method for each vehicle covered by the rental. Please note that the release of the reserved amount may take up to 30 days, depending on the payment method chosen.
- For payment methods that require the use of the wallet, membership fees or penalty fees will be deducted from the user's wallet balance. If the selected payment method is not confirmed for payment, the Rider must return the vehicle and terminate the rental according to the policies. If a fee cannot be charged using the selected payment method, the Rider will be suspended from the service until the outstanding amount is properly paid.
- Donkey Republic works with various payment service providers. Payments are processed using the payment method selected by the Rider during registration or subsequently in the app. By concluding a rental contract, the Rider confirms that they are authorized to approve the transfer from the specified account. It is the Rider's responsibility to ensure that the chosen payment method has sufficient funds to cover the rental price. Should a payment fail due to insufficient funds or other reasons for which the Rider is responsible, Donkey Republic reserves the right to charge a flat-rate compensation of EUR 5 for the additional expenses incurred, unless the customer can prove that the damage was less. Donkey Republic is not liable for any fees, penalties, interest, or other amounts incurred by the Rider as a result of an overcharge to their payment card or bank account in connection with the use of Donkey Republic's services.
- The Rider bears full responsibility for their vehicle and for the vehicles used by their Co-Riders.
G. Use of vehicles
- The minimum age for using the vehicles is 12 years.
- The Rider must ensure that Co-Riders are familiar and comply with these GTC as well as applicable national laws governing cycling in road traffic.
- The vehicle is designed for a maximum load of 120 kg. Any use outside this range may increase the risk of accidents or inconveniences. It is not permitted to transport more than one person on the same vehicle.
- On the website (https://help.donkey.bike/hc/en-us/categories/201216225-Users) the Rider can get recommendations on how to check the condition of the vehicle at the start of the rental and how to park the vehicle after use to terminate the rental. The Rider can also find information about the seat heights of the vehicles.
- Riders and Co-Riders are obliged at all times to use the vehicle in an appropriate, lawful, and reasonable manner.
- When the Rider ends the rental, they must ensure the following for themselves and the Co-Rider:
- 6.1 – Securely lock the vehicle at a hub. Detailed instructions for locking the vehicle are described in the app. These instructions will be displayed to the Rider when they click the “End Rental” button in the app.
- 6.2 – Park the vehicle legally at the correct and assigned Drop-off Location as shown in the app. The app confirms whether the vehicle is correctly parked at the Drop-off Location. If a vehicle is not returned and parked properly, the Rider must pay the lump-sum compensation pursuant to F. 7 and F. 8.
- 6.3 – Click on “End Rental” in the app for the vehicle and for the vehicle used by a Co-Rider.
- Donkey Republic is obligated to ensure, by the relevant road traffic authority, that vehicles are not parked outside the Drop-off Locations on public roads after the rental period has ended. The Rider is therefore obliged to park the vehicle in the area of a Drop-off Location at the end of the rental period.
H. Defects and damage to the vehicle
- Before collecting the vehicle by unlocking the vehicle, the Rider must inspect the vehicle for any visible defects or damage, including, but not limited to, tires and lights, as well as brakes, seat, and handlebars where applicable. If the Rider discovers a defect or damage that makes it unsafe to use the vehicle, they must cancel the rental by clicking on “Cancel Rental” in the app. The Rider will not be charged any costs for the defect or damage.
- If a defect or damage to the vehicle is discovered after the Rider has unlocked the vehicle and if the vehicle is not safe to use due to the defect or damage, the rider must exchange the bike by pressing "Change bike" in the app or terminate the rental by clicking "End Rental" in the app.
- The Rider and Co-Riders must never use a vehicle that is unsafe (e.g., due to damage or defect).
I. Liability of the Rider
- The Rider is liable for damage caused during the rental period by theft for which they are responsible or damage caused by them to the rented vehicle or to a vehicle rented by a Co-Rider. This may result in costs of up to EUR 900 for mechanical bicycles, EUR 2,000 for e-bikes, EUR 2,000 for cargo bikes, and EUR 4,000 for e-cargo bikes. The amount of the respective lump-sum compensation is based on the amount of damage that can be expected in the normal course of events as a result of the loss or damage to a vehicle. The Rider is free to prove that Donkey Republic has suffered significantly less damage than the applicable lump-sum compensation.
- If a Rider has limited their liability in the event of theft/loss of the vehicle during the booking for which they are responsible pursuant to F.2, their liability is limited to the following amount:
- a. up to 50 EUR for a mechanical bicycle
- b. up to 100 EUR for an e-bike
- c. up to 100 EUR for a cargo bike
- d. up to 200 EUR for an e-cargo bike
- The Rider must terminate the rental contract for themself and their Co-Riders. A rental contract that is not properly terminated will be automatically renewed and the Rider will be charged the corresponding lump-sum compensation if the conditions described below are met.
- If a Rider does not end a rental in the app, we will end the rental for the Rider after a period of inactivity and charge the applicable rental fee to the payment method that the Rider has registered in their account. If the Vehicle can not be found after the rental has been ended, I.1 and I.2 apply.
- If the end of the rental agreement is not reached by termination and the Rider cannot be invoiced for the current rental, Donkey Republic will notify the Rider to return the vehicle. The Rider must contact the Donkey Republic support team within 48 hours and provide information about the location of the vehicle. Otherwise, if the rented vehicle is not found within 7 days, it will be considered lost or stolen and the Rider will be liable as described below.
- a. Lost bike - no theft insurance
- If the Rider has not limited their liability in the event of theft/loss during the booking by taking out a ‘theft insurance’, Donkey Republic has the right to charge the rider the following amounts directly via their payment method as compensation for the loss:
- Mechanical bike: Up to 900 EUR / vehicle
- E-bike: Up to 2,000 EUR / vehicle
- Cargo bike: Up to 2,000 EUR / vehicle
- E-Cargo bike: Up to 4,000 EUR / vehicle
- The amounts may vary in certain regions or cities. The exact amounts will be displayed in the app at the time of rental termination.
- If the Rider has not limited their liability in the event of theft/loss during the booking by taking out a ‘theft insurance’, Donkey Republic has the right to charge the rider the following amounts directly via their payment method as compensation for the loss:
- b. Lost bike - with theft insurance
- If a Rider has limited their liability in case of theft/loss of a vehicle at the time of the booking, Donkey Republic has the right to charge the Rider the following to be invoiced as compensation:
- up to 50 EUR for a mechanical bicycle
- up to 100 EUR for an e-bike
- up to 100 EUR for a cargo bike
- up to 200 EUR for an e-cargo bike
- The amount will be debited directly via the Rider's payment method.
- The Rider is free to prove that Donkey Republic has suffered significantly less damage than the applicable lump-sum compensation.
- If a Rider has limited their liability in case of theft/loss of a vehicle at the time of the booking, Donkey Republic has the right to charge the Rider the following to be invoiced as compensation:
- a. Lost bike - no theft insurance
J. Termination of Services and Deletion of User Account
- If the Rider culpably violates these GTC, Donkey Republic is entitled to terminate the use of the services, the app, and the website after unsuccessfully issuing a warning and setting a reasonable deadline for remedy, and to deactivate and delete the Rider's account.
- In the event of such termination, Donkey Republic reserves the right to offset the rental or membership fee paid by the Rider against any damages caused by the violation.
- The right to extraordinary termination for other important reasons remains unaffected.
- Donkey Republic reserves the right to delete the account if it has not been used for a period of 36 to 48 months. Donkey Republic will notify the Rider via the email address stored in the user account with a deadline of two weeks before initiating the deletion of the account. Any balance or Donkey Bonus remaining in the wallet at this time will expire when the account is deleted. The user will also be informed of the impending expiration of the wallet balance in the aforementioned email.
K. Limitation of the Liability of Donkey Republic
- For damages incurred by the Rider or their Co-Riders arising from or in connection with the registration and use of Donkey Republic's services, Donkey Republic shall be liable as follows:
- Unlimited liability: Donkey Republic is liable without limitation for wilful intent and gross negligence as well as for damages resulting from injury to life, body, or health of persons. The same applies to claims under the Product Liability Act.
- Furthermore, the following limited liability applies to Donkey Republic: In the case of slight negligence, Donkey Republic is only liable in the event of a breach of a material contractual obligation, the fulfilment of which is essential for the proper execution of the contract and on the observance of which the contractual partner can regularly rely (cardinal obligation). Liability for slight negligence is limited to the amount of damage that was foreseeable at the time the contract was concluded and that would typically be expected to occur.
- The above limitations of liability also apply to the vicarious agents and legal representatives of Donkey Republic.
- It is expressly agreed that the Rider must explore all possibilities of covering the loss or damage, e.g., by filing claims with their own insurance company before Donkey Republic can be held liable for any loss or damage. In addition, the Rider must act responsibly in mitigating and limiting losses or damages to ensure that these losses or damages do not exceed a reasonable amount.
L. Miscellaneous, reservation of rights of change, contractual language, place of jurisdiction
- These GTC are governed by Danish law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The applicability of mandatory statutory provisions (including consumer protection regulations), in particular the state in which the Rider, as a user, has their habitual residence, remains unaffected. The applicable GTC can be accessed and saved by the Rider via the app or the website under “General Terms and Conditions”.
- Donkey Republic reserves the right to unilaterally change these GTC, prices, products, and services covered by these GTC, in particular if and to the extent that this is necessary to adapt to changed legal or technical conditions. Donkey Republic also reserves the right to offer new services or to discontinue offering services. The Rider will be informed of changes to these GTC by email. Changes to the GTC, prices, products, and services will be displayed in the app before rental. To book a ride, the Rider's consent is required in the app. If the Rider does not agree to new terms and conditions, they will no longer be able to use the services in the future. The changes will only become effective for members if the member does not object to them in writing within two weeks of receiving the notification of the change by email. If the member objects to the changes to the GTC, Donkey Republic is entitled to terminate the contractual relationship with the member based on these GTC with a notice period of four weeks. In the notification of changes, Donkey Republic will expressly inform the member of the right to object and the legal consequences of remaining silent and objecting.
- Any disputes between the Rider and Donkey Republic arising from or in connection with the contractual relationships governed by these GTC shall be subject to the jurisdiction of the courts of the country in which the Rider, as a user, has habitual residence. The Rider remains free to appeal to the competent court in the jurisdiction of the registered office of Donkey Republic.
- Should individual provisions of this contract be invalid or unenforceable or become invalid or unenforceable after conclusion of the contract, the validity of the remaining provisions of the contract shall remain unaffected. The ineffective or unenforceable provision shall be replaced by an effective and enforceable provision whose effects come closest to the economic objective pursued by the contracting parties with the ineffective or unenforceable provision. The above provisions shall apply accordingly in the event that the contract proves to be incomplete.
